REFERRAL NETWORK PROGRAM TERMS
The present Referral Network Program Terms constitute additional terms which apply in case you are using the ShareSpace Referral Network Program. These Referral Network Program Terms (the “Present Terms”), form an integral part of your agreement with ShareSpace Limited (“us”).
2. Interpretation: In the present Referral Network Program Terms, defined terms have the same meaning as in the Terms and Conditions for All Users (Users and/or Creators). Further to the already defined terms:
a. “Referring User” is also referred to as “you” or “your” in these Referral Network Program Terms;
b. “Referred Creator” means the person who joins ShareSpace Platform as a Creator via the Referring User's unique referral code.
c. “Referred User” means the person who joins ShareSpace Platform as a User via the Referring User's unique referral code.
3. What is the ShareSpace Referral Network Program: Through the referral program, of ShareSpace, existing Users can introduce friends, relatives etc. who are interested in becoming Creators or Users to ShareSpace Platform, with the aim to start receiving referral payments from ShareSpace Platform. The referral payments are calculated and governed by the Present Terms.
The ShareSpace Referral Network Program is operated by us, ShareSpace Limited, a company registered in the Republic of Cyprus under company registration number HE 415811. Our registered office is at N.I. Nikolaide Ave & Koroivou, Penelope Palace, Flat/Office 101, 8010, Paphos, Cyprus.
4. The rules of the ShareSpace Referral Network Program:
a. Only Users of ShareSpace Platform with a current User account can participate in the ShareSpace Referral Network Program. If a User’s account has been suspended or terminated by us for any reason or deleted by the User, that User will not be eligible to participate in the ShareSpace Referral Network Program.
b. You will need to pass Stripe Verification Procedure, on your User account page, during which you will be requested to add a bank account or payment method details of your bank account or a payment method in order to start receiving referral payments under the ShareSpace Referral Network Program.
c. Each User has a unique referral code (which can be accessed via the User’s account) which the User may share with others. When sharing your unique referral code you must not impersonate ShareSpace Platform or give the impression that your referral code is being shared or promoted by us.
d. The Referred Creator or User can become part of a Referring User’s system by entering the referral code during its registration with ShareSpace Platform or through the menu tab in Referring User’s account.
e. The Referred Creator or User must not have opened a User account with ShareSpace Platform (whether under the same name or another name) before using your unique referral code. If the Referred Creator or User is currently or has previously been a User of ShareSpace Platform no referral payments will be made to you for the said referral.
f. If the Referred Creator or User sets up more than one User account referral payments will be made to you on the earnings made by the Referred Creator or User from their first User account only. No referral payments will be made to you on any further User accounts set up by the Referred Creator or User.
g. No referral payments will be made to you on any referral of a Referred Creator or User which we determine is owned or operated by you, or is in a commercial relationship with you. You have the obligation to provide us with any information that we will request with the aim to determine whether the Referred Creator or User is owned or operated by you or if there is a commercial relationship between you and the Referred Creator or User.
h. You agree that when promoting ShareSpace Platform in any way as a Referring User:
i. you will not make any statements which suggest to a potential Creator or User that they will make a particular sum of money (or any money) from their use of ShareSpace Platform.
5. Referral payments:
a. Referral payments: Once a Referred Creator or User has become a registered User of ShareSpace Platform in accordance with the terms of the ShareSpace Referral Network Program described in the present, the Referring User will be paid a referral payment equal to 5 per cent (5%) of User Payments generated by the Referred Creator or User within twelve months after the date on which the Referred Creator or User becomes a registered User of ShareSpace Platform.
b. VAT: If you are a Referring User you acknowledge that all referral payments payable to you by us will be exclusive of any VAT (if applicable) (as defined in the Terms and Conditions for All Users (Users and/or Creators).
c. Payout method: To start receiving referral payments you must first provide your bank account details, as requested during the Stripe Verification Procedure, and also to choose the currency in which you prefer to start receiving your payouts.
d. Frequency of payouts: The referral payment due to you will be paid out on a daily basis to the percentage of (i) the Referred Creator earnings and/or (ii) the amount of Referred User’s purchases.
e. Cost of the referral payment: The cost of the referral payment will not be borne by the Referred Creator or User
6. Our rights relating to the referral program:
a. In case a referral payment has been made mistakenly we have the right to recover the incorrectly paid sums from the relevant User.
b. We have the right to request from you or from a Referred Creator of User (or both), to provide us with ID and/or any other information reasonably required to enable us to verify any referral payment to be made and the person to whom any referral payment should be made to. In case you fail to provide us with any requested information we have the right to refuse to proceed with any referral payment in respect to the relevant Referred Creator or User.
c. We have the right to amend any terms or rules of the ShareSpace Referral Network Program or discontinue the same, at any time. However, referral payments already earned by any Referring User, before the relevant amendments or discontinuance took place, will not be deprived from any Referring User.
7. Circumstances in which we may withhold referral payments:
a. We may withhold all or any part of the referral payments due to you but not yet paid out, in any of the following instances:
We may withhold all or any part of the referral payment, for any of the above mentioned reasons, for as long as is necessary to investigate the actual, threatened or suspected breach or the suspected unlawful or fraudulent activity (according to the case). If following our investigation, we conclude that (i) you have seriously or repeatedly breached any part of the Terms and Conditions for All Users (Users and/or Creators); (ii) you have attempted or threatened to breach any part of the Terms and Conditions for All Users (Users and/or Creators) in a way which has or could have serious consequences for us or another User (including actual or possible loss); and/or (iii) all or any part of referral payments due to you result from unlawful or fraudulent activity, we may notify you that you have lost all or any part of your referral payments.
b. We may also withhold all or any part of the referral payments due to you but not yet paid out, in case it comes to our attention that you have secured, encumbered, pledged, assigned, or otherwise allowed a lien to be placed on your referral payments. We undertake no duty to pay referral payments to third-party lienholders and may withhold payment of Creator Earnings until the lien has been removed.
c. We shall not have any responsibility to you in case we reasonably withhold or forfeit any payment due to you, according to Referral Network Program Terms.
d. In case we are withholding all or any part of the referral payments due to you and we conclude that part of the referral payments withheld is unrelated to breaches of the Terms and Conditions for All Users (Users and/or Creators) or suspected unlawful or fraudulent activity, then we may arrange for you to be paid the part of the said unrelated referral payments. However, you agree that if we consider that your breach of the Terms and Conditions for All Users (Users and/or Creators) has or may cause us loss, we may withhold all referral payments due to you but not yet paid and we may use such amounts to cover any losses we might have suffered.
